The ExcluLive Platform Is for Adults Only.

We have placed this point above all of our other terms because it is the most important (although it is also referenced below). Exclulive.com is open only to adult users who have reached the age of 18 or the age of majority in their jurisdiction (the "Age of Majority"). As used herein, the terms "minor," "juvenile," and "child" refer to any person who has not reached the Age of Majority, and the terms "adult" and "adults" refer to any person who has reached the Age of Majority. Anyone who has not yet reached the Age of Majority is strictly prohibited from accessing the Exclulive.com website and Platform. If you have not yet reached the Age of Majority, you must leave this site immediately, right now. Anyone found to have accessed the Platform, as that term is defined below, in violation of this policy will be permanently barred from accessing the Platform, including after they reach the Age of Majority. In addition, please be aware that we reserve the right to report every suspected minor to the National Center for Missing and Exploited Children and any other law enforcement agencies we deem appropriate. Our zero-tolerance policy toward persons who have not yet reached the Age of Majority applies to anyone who, in our opinion and in our sole discretion, may create a false impression in viewers that such person has not yet reached the Age of Majority, whether intentionally (for example, through makeup, clothing, room decor, camera filters/applications, and/or automation) or unintentionally. Moreover, we maintain zero tolerance for any attempt on or through the Platform to discuss or exploit anyone who has not reached the Age of Majority, whether during a broadcast or through images, text, discussions, external links, or otherwise. As stated above, we reserve the right to report every suspected instance of child exploitation material to the National Center for Missing and Exploited Children and any other law enforcement agencies we deem appropriate. We strongly ask and encourage users of the Platform to report anyone who potentially exploits or endangers children. Notify us immediately if:

• You identify a potential minor in broadcasts, videos, or images, regardless of the context;
• Any person offers, or seeks to participate in, role-play involving minors, commonly referred to as "age play," in which one or more adults play the role of minors; or
• Any person offers to share, seeks to receive, or actually shares content depicting minors, whether through the Platform or otherwise.

All reports are reviewed as quickly as possible, but if you suspect that someone may be in immediate danger, please also contact your local authorities. As for all other matters, we operate an online platform and are not engaged in the production or presentation of video broadcasts. We adopt only those rules we consider necessary to comply with the law, community standards, and to ensure the safety of our users.

Platform

The Platform (as defined below) is an online platform that provides social-media functionality, including both text and video chat, through which users who access the Platform (each a "Community Member") can create online audio, video, interactive, and live content and share it with other Community Members, which may include, at the electing Community Member's option, adult content. Community Members who have provided sufficient documentation or information may stream their live video through the Platform, subject to the minimum restrictions set out in these Terms, which have been implemented in accordance with applicable law, community standards, and for the safety of Community Members. Consistent with the requirements of safety and legality, Community Members may create and broadcast (or decline to broadcast) their broadcasts as they themselves determine, and may set their own rules for other Community Members viewing their broadcasts. Community Members are also free to use other video-streaming platforms at different times or at the same time that such Community Members use our Platform, subject to the provision below that Community Members may not promote or advertise through the Platform any organization, product, service, or website that provides live video-streaming content.

Introduction and Description of the Service

When you access the Platform, you understand that you may see and/or receive communications, both solicited and unsolicited, containing graphic images of nudity, exposed genitals, and adults engaged in explicit sexual activity, consisting of adults of different genders, adults of the same gender, as well as sexual acts involving more than two adults. By accessing and/or using the Platform, you expressly affirm that you have reached the Age of Majority and wish to view adult content of your own free will. By accessing the interactive video-chat social-media platform located at Exclulive.com (collectively, the "Platform"), these terms and conditions, including without limitation Sections 1 and 2 above (these "Terms"), form a binding agreement between you ("you") and Exclusive Live, LLC (the "Company") regarding your use of the Platform. If you do not agree to comply with these Terms, you must leave the Platform immediately and must not access the Platform again for any reason. There is no charge to access the Platform and view content; however, to access certain features of the Platform, Community Members will need to create an account (as defined below).

Community Members who are eligible to receive tokens to their account from other Community Members are referred to in these Terms as "Independent Broadcasters." In these Terms, the use of phrases such as "we," "our," "us," or other applicable first-person expressions refers to the Company. The use of the terms "you" or "your" refers, depending on the context, to you, a Community Member, or an Independent Broadcaster who accesses or uses the Platform. By accessing and/or using the Platform, you agree to comply with these Terms.

Access by Minors and Their Exploitation Are Prohibited

This Platform is for adults only. As stated in Section 1 above, to access and use the Platform, you must be at least the Age of Majority. IF YOU HAVE NOT REACHED THE AGE OF MAJORITY, YOU MUST LEAVE THE PLATFORM IMMEDIATELY. By accessing and/or using the Platform, you agree that you have reached the Age of Majority and acknowledge that we have the sole and absolute right to close your account if we determine that you are in violation of this requirement. If we determine that you are in violation of this Age-of-Majority requirement, we will report you to law enforcement.

Law Enforcement Reporting. We reserve the right to report suspected violations of the Platform's minimum-age requirements, and we act on them, to the National Center for Missing and Exploited Children ("NCMEC") and any law enforcement and other organizations we deem appropriate, in our sole discretion. If you believe that a minor has accessed the Platform, you must notify us immediately at admin@exclulive.com. For more information about this policy and our zero-tolerance stance toward minors using the Platform or appearing on it in any way, please contact us at support@exclulive.com.

No Exploitation of Minors. For purposes of these Terms, "Child Sexual Abuse Material," commonly referred to as "CSAM," includes, but is not limited to, (i) any material depicting a person who has not yet reached the Age of Majority in a state of undress or engaged in any suggestive or sexual conduct of any kind; (ii) any material that simulates the foregoing, such as dolls, animated films or images, or adults made to look like children or to suggest that they have not reached the Age of Majority; and (iii) any discussion of child pornography, child exploitation, or your own or another person's sexual activity prior to reaching the Age of Majority. The possession and distribution of CSAM, as well as the exploitation of children, are serious crimes. All Community Members are strictly prohibited from using the Platform to distribute, access, request, or discuss CSAM, or to engage in any activity or discussion aimed at exploiting persons who have not reached the Age of Majority, including through role-play. If you see anything on the Platform that violates this provision or appears questionable, notify us immediately at admin@exclulive.com. We will review any claim promptly and take appropriate action. IF YOU SEEK OR SHOW INTEREST IN ANY TYPE OF PEDOPHILIC OR PEDERASTIC CONTENT, INCLUDING IN THE FORM OF ROLE-PLAY, YOU MUST LEAVE THE PLATFORM IMMEDIATELY. YOU WILL BE BANNED EVEN FOR DISCUSSING SUCH ACTIVITY OR FOR SEEKING, OFFERING, OR PARTICIPATING IN INAPPROPRIATE ROLE-PLAY. IN ADDITION, YOU WILL ALSO BE BANNED FROM THE PLATFORM AND REPORTED TO NCMEC AND/OR LAW ENFORCEMENT FOR DISCUSSING, OR ARRANGING TO DISCUSS, MINORS ON ANOTHER PLATFORM. SIMPLY PUT, PEOPLE WHO SHOW INTEREST IN CHILDREN, INCLUDING THROUGH ROLE-PLAY, MAY NOT USE THE PLATFORM AND WILL BE PUNISHED IN THE HARSHEST MANNER POSSIBLE.

Section 230 of the Communications Decency Act. The Platform is an interactive platform operated by its Community Members, whose content is provided by Independent Broadcasters; under Section 230 of the Communications Decency Act, we are protected from liability for material published through the Platform by Community Members. Accordingly, we are not liable for content published by Community Members. Because we operate an online platform and are not engaged in the production or presentation of webcasts, we have sought to implement only those rules and policies that we believe are necessary to: (i) comply with applicable laws; and (ii) maintain the safety of the Platform and of Community Members.
